Public Offer (Women's Clothing and Lingerie)
To enter into a purchase and sale agreement for AZALY brand products (women's clothing and lingerie) through the online store.
This document is an official offer (public offer) from [name of legal entity/sole proprietor operating under the AZALY brand] (hereinafter referred to as the "Seller") addressed to any legally competent person (hereinafter referred to as the "Buyer") to enter into a purchase and sale agreement and delivery of products under the terms and conditions set forth below.
1. Terms and Definitions
1.1. Buyer — any person (individual, sole proprietor, or legal entity) who places an order (hereinafter referred to as the "Order") for the purchase and delivery of Products on the website and accepts this offer.
1.2. Seller — [full name of legal entity/sole proprietor, legal entity], selling the Goods under a sales contract, operating under the "AZALY" brand.
1.3. Recipient — the person designated by the Buyer to receive the Goods.
1.4. Offer Acceptance — the Buyer's full and unconditional acceptance of the terms of the offer by placing an Order on the Website and paying for it.
1.5. Website — the Seller's online store with descriptions and prices for the Goods: [domain name/link to application].
1.6. Agreement — the agreement for the sale, purchase, and delivery of the Goods, concluded between the Seller and the Buyer by accepting this offer.
1.7. Products — women's clothing, accessories, and women's underwear offered for sale on the Website, including accompanying packaging, labels, and other items.
1.8. Order — the Buyer's request for the purchase and delivery of Products submitted on the Website, containing information about the name, size, quantity, price, delivery address and time, payment methods, and other terms of fulfillment.
1.9. Price — the unit price of the Product.
1.9.1. Prices for each item are listed on the Website.
1.9.2. The Seller reserves the right to unilaterally change prices until the Buyer accepts a specific Order.
1.9.3. When a price change occurs, the Seller updates the information on the Website; changes do not apply to Orders that have already been paid for.
1.9.4. Delivery costs are indicated on the Website and/or communicated when placing the Order.
1.9.5. The Buyer's payment obligations are considered fulfilled upon receipt of funds in the Seller's bank account/e-wallet.
1.10. Promotion — a Seller's marketing campaign (discounts, promo codes, special conditions).
1.10.1. The terms of promotions are specified on the Website; discounts from different promotions are generally not cumulative (unless otherwise expressly stated in the terms of the relevant promotion).
2. Subject of the Agreement
2.1. The Seller undertakes to transfer ownership of the Products displayed on the Website to the Buyer and to arrange for their delivery to the Recipient (if necessary), and the Buyer undertakes to pay for the Products and accept them under the terms of this offer.
2.2. Acceptance of this offer is deemed to be the Buyer's placing an Order on the Website and paying for it using available payment methods.
2.3. The name, size, color, quantity, and other characteristics of the Products are determined by the Buyer's Order in accordance with the information on the Website and/or the operator's consultation.
2.4. The total Order amount includes the price of the Products, delivery costs, and other agreed-upon fees (e.g., fitting fees, if applicable), of which the Buyer is notified prior to payment.
2.5. In certain cases (pre-orders, rare sizes/colors, delivery to remote areas), final terms (delivery dates, logistics costs, etc.) are agreed upon with the Buyer by phone, instant messaging, or email.
2.6. Order fulfillment times depend on Product availability, the address and selected delivery method, as well as calendar peaks (holidays, sales). Current delivery and payment terms are posted in the "Delivery and Payment" section of the Website.
3. Rights and Obligations of the Parties
3.1. Seller's Obligations
3.1.1. Timely delivery of Products of proper quality and completeness, as specified in the Order.
3.1.2. Arrange delivery of the Products independently or through delivery services to the address and within the timeframe agreed upon with the Buyer.
3.1.3. If any Product defects are discovered, satisfy the Buyer's legal demands (exchange, proportionate price reduction, refund) in the manner and within the timeframes established by the legislation of the Republic of Uzbekistan and this offer.
3.1.4. Provide the Buyer with accurate information about the Products, payment methods, and delivery.
3.2. Seller's Rights
3.2.1. Refuse to fulfill/deliver the Order if the Buyer provides inaccurate contact information or a non-existent/incomplete address, and deduct actual logistics costs for re-delivery to a verified address.
3.2.2. Propose a change to the delivery address/time by agreement with the Recipient and/or Buyer.
3.2.3. If the Buyer makes a mistake in selecting a delivery location/service, request an additional payment for correct delivery or cancel the Order and refund the funds less actual logistics costs.
3.3. Buyer's Responsibilities
3.3.1. Pay for the Order on time before
Delivery of the Product (unless otherwise specified by the payment method).
3.3.2. Ensure the Recipient's presence at the specified address at the agreed time, or agree to a delivery reschedule and/or re-delivery (with a possible additional charge for re-delivery).
3.3.3. Handle the Product carefully when trying it on, preserving its marketable appearance, tags, seals, and packaging until the final purchase decision is made.
3.4. Buyer's Rights
3.4.1. Receive information about the Product and take advantage of discounts and promotions in accordance with the procedure established on the Website.
3.4.2. File complaints regarding the quality and completeness of the Product within the timeframes established by law.
4. Terms of Delivery, Acceptance, and Cancellation of Orders
4.1. Delivery is made to the address specified by the Buyer. If the Recipient is absent at the agreed time, the courier may contact the Buyer to re-arrange the order; re-delivery may be subject to a fee.
4.2. If delivery of an Order is impossible due to reasons beyond the Buyer/Recipient's control (incorrect address, lack of communication, unjustified refusal to accept the Order), the Products will be returned to the Seller's warehouse. A reshipment may be agreed upon, with the deduction of the actual costs of the first delivery and the payment of the reshipment fee.
4.3. Before the Order is delivered, the Buyer has the right to cancel it for a full refund. After delivery, the refund will be made minus the actual logistics costs (delivery/return delivery).
4.4. For certain categories (pre-orders, custom-made/made-to-order orders), the Seller has the right to request an advance payment; in case of cancellation at the Buyer's initiative, the refund will be made minus the actual documented costs.
5. Return and Exchange of Products
5.1. Products of proper quality. Returns/exchanges are carried out within the timeframes and under the conditions stipulated by the legislation of the Republic of Uzbekistan and the return policy posted on the Website. The goods are accepted if they are in their original condition, have factory tags/seals, and show no signs of wear, dirt, or foreign odors. Proof of purchase is required.
5.2. Women's underwear and hosiery. For hygiene reasons and in accordance with the current legislation of the Republic of Uzbekistan, goods of this quality cannot be returned or exchanged. Exceptions include identified manufacturing defects/hidden defects.
5.3. Goods with defects. If a manufacturing defect is discovered, the Buyer has the right to request an exchange, repair (if applicable), a proportionate price reduction, or a refund. Shipping/return costs are borne by the Seller.
5.4. Processing Procedure. Claims and return requests should be sent to the Seller's contact information listed on the Website. The Seller may request photos/videos of the defects and other information for Order identification.
6. Product Range and Color/Size Details
6.1. The product shade on the screen may differ slightly from the actual product due to display settings, lighting during shooting, and fabric batches.
6.2. Minor measurement tolerances (e.g., ±1–2 cm) are permitted within industry standards.
7. Personal Data and Communications
7.1. When processing an Order, the Seller processes the personal data of the Buyer/Recipient for the purpose of fulfilling the Agreement and in accordance with the Privacy Policy posted on the Website.
7.2. Notifications and informational messages regarding the Order are sent to the phone number/email address specified during the order process.
8. Other Terms
8.1. The Agreement is considered concluded upon the Buyer's acceptance of the offer and is valid until the Parties have fully fulfilled their obligations.
8.2. By placing an Order, the Buyer confirms that they have read and agree to the terms of this offer, as well as the "Delivery and Payment," "Returns and Exchanges," and "Privacy Policy" sections published on the Website at the time of Order placement.
8.3. Disputes are resolved through negotiations; if agreement is not reached, in accordance with the procedure established by the legislation of the Republic of Uzbekistan at the location of the Seller, unless otherwise provided by law.
8.4. The Seller reserves the right to amend the offer by publishing the current version on the Website. Amendments do not apply to Orders already placed and/or paid for.
8.5. In all matters not regulated by this offer, the Parties shall be guided by the current legislation of the Republic of Uzbekistan.
